Company secretarial role with significant Infrastructure company

Role


The primary purpose of this role is to assist the General Counsel and Company Secretary in delivering governance and company secretarial services to the business focussing on corporate governance, compliance, data integrity, due diligence, statutory board and financial reporting.


You will be responsible for:


  • Ensuring statutory registers are maintained for all relevant entities.
  • Overseeing entities’ compliance regime e.g. annual returns, solvency declarations, statutory fee payment, bi-annual report, statutory notifications, business certificate and license renewal.
  • Periodic review of proprietary status with finance team to ensure financial reports are approved and lodged with the relevant authority within the prescribed period.
  • Coordinating Board meetings, including preparing agendas, papers, minutes, and action lists.
  • Maintaining statutory records across a variety of jurisdictions for companies, incorporated joint ventures and investments within the Group.

  • Ensuring compliance with all relevant legal and regulatory requirements and all relevant Company and group Policies and processes.
  • Assisting the Compliance Group.


You will report into the Legal Manager.


Requirements for this role:


  • Tertiary qualifications in a relevant discipline
  • Graduate Diploma in Applied Corporate Governance
  • Minimum of three years’ experience in similar role in a large or complex organisation
  • Experience in preparing for and attending board meetings
  • Ability to liaise and work effectively with executive management
  • Demonstrated ability to act professionally with regard to sensitive and confidential issues
