Responsibilities of the Board Secretary

  • Manage board processes – prepare board agendas and minutes and collate and distribute board reports a week prior to each meeting.
  • Ensure board meetings are properly called and held.
  • Ensure records of meetings are kept in compliance with the organisation’s constitution.
  • Understand and ensure the organisation complies with its statutory obligations, ensuring requirements of ACNC and other regulators are met.
  • Prepare the agenda in advance of each Board meeting.
  • Organise meeting papers for distribution before the meeting
  • Coordinate the Association’s membership
  • Be an active member of the Mamre Community

Expectations of our Board Members

  • Be willing to exemplify values which are consistent with Mamre’s values of Hospitality, Community, Simplicity, Justice and Integrity
  • Attend and participate in meetings on a regular basis, and special events as able.
  • Participate on a committee of the board and serve on ad-hoc committees as necessary.
  • Be an ambassador for Mamre’s mission, objectives, and programs.
  • Help communicate and promote Mamre’s interests in the community.
  • Become familiar with Mamre’s finances and resource needs.
  • Understand the operating model, policies and procedures of the organisation.

Meetings and Time Commitments

  • The Governance Board meets approximately 8-10 times per year, generally on a Monday evening at 6 pm at Mamre’s premises at Finsbury St, Newmarket.
  • Sub-Committees of the board meet approx. 6 to 8 times per year and the Secretary shall be required to attend and minute the majority of sub-committee meetings.
  • Board members are asked to attend special events or workshops, as they are determined, and likely to be on around 3 – 4 occasions each year

What you bring to the role

  • Demonstrated experience in corporate governance and as a Company Secretary or Assistant Company Secretary
  • High level of confidentiality, discretion, and judgement
  • Professional conduct and demeanor
  • Highly effective communication skills
  • Demonstrated ability to work autonomously
  • Demonstrated alignment with Mamre’s mission, vision and values


  • Knowledge of and experience of working in the community sector


  • Working with Children Check (Qld)
  • NDIS National Worker Screening clearance
  • Certificate of Completion for the NDIS Worker Orientation Module
  • Current Qld Drivers Licence
  • Bachelor of Laws and current registration to practice preferred, but not essential
  • Graduate Diploma in Corporate Governance preferred, but not essential
