About The Role

Role Location: Melbourne

Role Type: Permanent, Full-time

The Senior Manager Corporate Advisory contributes to the origination and execution of profitable M&A transactions, capital raisings and advisory services for clients. The Senior Manager will be responsible for project managing cross border and domestic transactions, providing technical expertise and commercial acumen across a range of industry sectors. Working as part of a team this role will be supported by a manager and analyst, with responsibility for providing oversight, review and feedback.

  • Project manage and assess M&A transactions via day-to-day deal execution with both existing and prospective clients, interacting with senior deal team members, client management teams, transaction counterparties and other advisors;
  • In conjunction with analyst resources, build and run detailed financial models and related analyses to support transactions;
  • Analyse and report on complex financial data;
  • Prepare high quality presentations and proposals for clients, including approval papers for mandated transactions;
  • Support transaction due diligence, including liaising with other advisors, and ensure findings are incorporated in commercial and contractual terms of any transaction;
  • Participate in the negotiation of commercial and legal terms of transactions; and
  • Collaborate with peers and other Relationship and Product teams across the bank to maximise the M&A team’s origination and execution success.

  • The ability to develop a network of professionals useful for achieving business objectives including colleagues, external associates, accountants, lawyers, brokers and customers.

Risk/Compliance/Behaviours:

  • Focus on delivering quality services and products to customers, whilst maintaining compliance at all times;
  • Contribute to business development initiatives and ensure that appropriate steps are taken to mitigate risks that may be otherwise associated with each transaction;
  • Apply M&A’s standards and guidelines for financial modelling, analysis and reporting; and
  • Research global modelling standards and processes.

About You

To be successful in the role, you will have the following experience, knowledge and skills:

  • Demonstrated strong financial modelling/valuation and analytical skills, including DCF (discounted cash flows), LBO (leveraged buyouts), EPS (earnings per share), trading comps, precedent transactions, accretion/dilution, value creation analysis, three-statement models;
  • Experience/sector knowledge and an interest in the general industrial and/or resources sector is highly desirable. Thorough knowledge of corporate finance and accounting, as well as understanding of legal and tax aspects related to M&A transactions.
  • Extensive experience in Investment Banking, Capital Markets or a Corporate Finance related role. Experience in M&A is preferred;
  • Experience in managing the day-to-day execution and knowledge of the different types of M&A processes (sell-side, buy-side, structured transactions, fairness opinions) and capital raisings (debt and equity);
  • Strong interpersonal skills to develop professional relationships with clients and internal stakeholders; and
  • Bachelors' degree in a relevant field (i.e. Finance, Commerce, Law, Engineering) from a leading university; MBA is not required but would be highly regarded
