Job Description

Reporting to the General Counsel, we have an exciting opportunity to join the ELMO team as a Legal Counsel based from our CBD HQ! The Legal Counsel will provide the highest level of commercially focused legal advice on a broad range of matters including commercial disputes (e.g. debt collection and terminations), employment and workplace relations, privacy and intellectual property, commercial contract drafting and negotiation, M&A and general corporate advisory work. The role will extend beyond ELMO to providing legal advice and transactional support to our subsidiary and related companies.

The core responsibilities of the Legal Counsel will include:

  • Reviewing, drafting and negotiating a range of commercial contracts (both customer and supplier side) to ensure ELMO's agreements are in line with the risk appetite and governance policies of the business.
  • Providing legal advice and/or management of disputes involving ELMO, including debt collection and contract terminations.
  • Advising the business on all aspects of privacy law compliance (including GDPR) and information security best practice (as regulated by the international standard ISO27001).
  • Playing a strategic and risk-advisory role in M&A transactions.
  • Maintaining and updating ELMO contract templates to reflect both legislative requirements and the changing requirements of the business.
  • Advising on employment and IR matters and reviewing marketing collateral, policies and procedures.
  • Providing accurate and timely advice on a range of corporate and commercial matters.
  • Developing and maintaining relationships within the organisation, delivering legal services as a trusted advisor to the business.
  • Adopting a proactive risk management approach to ensure risks are identified, quantified and controlled.
  • Briefing external legal advisors where required and managing the interactions between external advisors and ELMO.
  • Attending relevant training seminars and courses to maintain and improve knowledge to meet the needs of ELMO and to satisfy the requirements of continuing legal practice.
  • Ensure compliance with Information Security and privacy policies and procedures
Desired Skills and Experience

The skills and experience you'll ideally bring to the table:
  • Minimum 5 years' PQE either in-house and/or in private practice with technology/software/cloud related experience preferred
  • Strong background in commercial law and contracts
  • Ability to proactively recognise and understand business risks and support the risk management process
  • Superior analytical skills to interpret difficult concepts
  • Experience in a fast-paced commercial environment
